~, <br />• Section 1. The Authority hereby approves of the Agency Agreement in the form <br />attached hereto as Exhibit A. The President and the Secretary-Treasurer are hereby authorized to <br />execute and attest, respectively, the Agency Agreement in substantially the form attached hereto as <br />Exhibit A with such changes as the President and Secretary-Treasurer of the Authority deem <br />necessary or appropriate upon the advice of counsel, said officers' execution and attestation thereof <br />to be conclusive evidence of their approval of such changes. The Secretary-Treasurer is hereby <br />directed to file a copy of the Agency Agreement with the Board. <br />Section 2.
