. 1. Consistent with the approval of the Second Addendum by the Common <br />Council, the Authority hereby approves of the payment of rent pursuant to the Second <br />Addendum at a maximum rate not to exceed Six Hundred Thousand and 00/100 Dollars <br />($600,000.00) per year in semiannual installments beginning on the day the 2008 Project is <br />completed and ready for use, or April 15, 2009, whichever is later, subject to reduction as set <br />forth in the Second Addendum. The Authority confirms its earlier approval set forth in <br />Resolution No. 167 of the preliminary plans and specifications and cost estimates and its intent <br />to issue lease rental revenue bonds and hereby approves of the Second Addendum,. as modified. <br />The Second Addendum as modified and approved is set forth hereto as Exhibit A. <br />2. The Authority confirms that the President, Vice President and .Secretary- <br />Treasurer of this Authority, and each of them, is hereby authorized and directed to take all such <br />further actions and to execute and attest the Second Addendum and all such .other instruments as <br />are desirable to carry out the transactions contemplated by this Resolution, in such form as the <br />President, Vice President and Secretary-Treasurer executing and attesting the same shall deem <br />proper, to be evidenced by the execution thereof. <br />This Resolution shall be in full force and effect after its adoption by the <br />Authority. <br />• <br />• <br />~**** <br />BDDBOI 5315903v1 - 3 - <br />
