1 <br />FIRST AMENDMENT TO AGREEMENT FOR SERVICES <br />This First Amendment to Agreement for Services (this “Amendment”) is entered into <br />as of _______________, __ 20__,between the City of South Bend, Indiana, and Republic <br />Services, Inc.(the “Contractor), each and party and collectively, the parties. <br />Recitals <br />A.On January 1, 2019, the parties entered into the Agreement whereby Contractor <br />agreed to provide the City disposal services at its Green Tech Transfer & Recycling Facility. <br />B.The parties desire to modify certain terms of that Agreement as set forth below. <br />Agreement <br />NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br />which the parties acknowledge, the parties agree to the following terms and conditions: <br />1.Term. Pursuant to Section 3, TERM, the parties agree to extend the term for an <br />additional two-year term, commencing on January 1, 2022 (“Amendment Effective Date”) <br />and ending on December 31, 2023. <br />2.Rates. Exhibit A is modified as follows: <br />The rates for Optional Renewal Terms are deleted and replaced with the following: <br />Dates Per Ton Tipping Fee <br />January 1, 2022-December 31, 2022 $32.77 <br />January 1, 2023-December 31, 2023 $33.43 <br />3.All other terms of the Agreement remain as written. <br />(Signatures on following page) <br />Feb. 8 22
