<br />A-5 <br />Indenture or on the Series 2022 Bonds, including any payment of principal of, premium, if <br />any, or interest on the Series 2022 Bonds. <br /> <br />The Issuer reserves the right to authorize and issue additional obligations payable from the <br />Lease Rental Payments on a parity with the pledge thereof to the bonds of the issue of which this <br />Series 2022 Bond is a part, subject to satisfaction of the conditions set forth in the Indenture. <br /> <br />The holder of this Series 2022 Bond shall have no right to enforce the provisions of the <br />Indenture or to institute action to enforce the covenants therein, or to take any action with respect <br />to any event of default under the Indenture, or to institute, appear in or defend any suit or other <br />proceedings with respect thereto, except as provided in the Indenture. Modifications or alterations <br />of the Indenture, or of any supplements thereto, may be made to the extent and in the circumstances <br />permitted by the Indenture. <br /> <br />A Continuing Disclosure Agreement from the Issuer to each registered owner or holder of <br />any 2022 Bond, dated as of the date of initial issuance of the Series 2022 Bonds (the “Agreement”), <br />has been executed by the Issuer, a copy of which is available from the Issuer and the terms of <br />which are incorporated herein by this reference. The Agreement contains certain promises of the <br />Issuer to each registered owner or holder of any 2022 Bond, including a promise to provide certain <br />continuing disclosure. By its payment for and acceptance of this bond, the registered owner or <br />holder of this Series 2022 Bond assents to the Agreement and to the exchange of such payment <br />and acceptance for such promises. <br /> <br />It is hereby certified that all conditions, acts and things required to exist, happen and be <br />performed under the laws of the State of Indiana and under the Indenture precedent to and in the <br />issuance of this Series 2022 Bond exist, have happened and have been performed, and that the <br />issuance, authentication and delivery of this Series 2022 Bond have been duly authorized by the <br />Issuer. <br /> <br />This Series 2022 Bond shall not be valid or become obligatory for any purpose or be <br />entitled to any security or benefit under the Indenture until the certificate of authentication hereon <br />shall have been duly executed by the Trustee. <br />*****
