2 <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF SOUTH BEND, <br />INDIANA, BOARD OF PUBLIC WORKS AS FOLLOWS: <br />1.The Board hereby approves of the conveyance of the Property to the Building <br />Corporation in accordance with Indiana Code 36-1-11-8 at a purchase price equal to $8,600,000 <br />(the “Purchase Price”). Following the issuance of the Bonds by the Building Corporation and upon <br />receipt of cash in an amount not less than the amount of the Purchase Price, the President of the <br />Board (the “President”) is authorized and directed, in the name of the City, to execute and deliver <br />a quit claim deed conveying title to the Property to the Building Corporation. <br />2.The Board authorizes such other actions as may be necessary to effect the recording <br />of the Deed in the Office of the Recorder of St. Joseph County, Indiana, and further authorizes the <br />execution of such other documents and any other actions which may be necessary to effectuate the <br />transfer of the Property to the Building Corporation. <br />3. This resolution will be in full force and effect upon its adoption by the Board. <br />ADOPTED at a meeting of the City of South Bend, Indiana, Board of Public Works held <br />on April 6, 2021, at 1308 County-City Building, 227 West Jefferson Boulevard, South Bend, <br />Indiana 46601. <br />Elizabeth A.
