RESOLUTION NO. 09- Of A RESOLUTION OF THE HISTORIC PRESERVATION COMMISSION OF SOUTH BEND AND ST. JOSEPH COUNTY, INDIANA AMENDING THE COMMISSION'S BY-LAWS AND ADOPTING THE NAPC CODE OF ETHICS WHEREAS, the Historic Preservation Commission of South Bend and St. Joseph County, Indiana (the "Commission') exists and operates under the provisions of ordinances enacted by the Common Council of the City of South Bend, Indiana, and the County Council of St. Joseph County, Indiana; and WHEREAS, the Commission is empowered to adopt and has adopted By -Laws governing the conduct of the Commission and of the Commissioners; and WHEREAS, Article 10 of the By -Laws provides the appropriate procedure for amending the By -Laws which requires that approval must be made by a vote of a majority of the Commissioners voting at a regular or special meeting of the Commissioners attended by all of them, provided that no such action shall be taken at a meeting of the Commission attended by less than all of the members unless the members are given at least ten (10) days notice of the substance of the proposed action to be taken at the meeting. The proposed amendment shall be introduced at one meeting and shall be acted upon at the next regular meeting or a special meeting called within at least ten (10) days notice; and WHEREAS, The National Alliance of Preservation Commissions (NAPC) is the only organization devoted solely to representing the nation's preservation commissions and its mission is "to build strong local preservation programs through education, advocacy and training"; and WHEREAS, as part of that mission, the NAPC has developed a Code of Ethics to promote and maintain the highest standards of honesty, integrity and professionalism among the commissioners and staff who serve their communities through preservation commissions; and WHEREAS, The Commission endorses this Code as the ethical benchmark to which all its members should aspire; and WHEREAS, it is desirable that the By -Laws be amended to adopt the NAPC Code of Ethics as the guideline for the ethical conduct of the Commission, its members and staff. NOW, THEREFORE, BE IT RESOLVED BY THE HISTORIC PRESERVATION COMMISSION OF SOUTH BEND AND ST. JOSEPH COUNTY AS FOLLOWS: Section 1. ' A new section of Article 2 shall be added to read as follows:
