SUBSTITUTE RESOLUTION NO. 05-01 <br />A RESOLUTION OF THE HISTORIC PRESERVATION COMMISSION OF <br />SOUTH BEND AND ST. JOSEPH COUNTY <br />AMENDING THE COMMISSION'S BY-LAWS <br />WHEREAS, the By -Laws of the Historic Preservation Commission of South Bend and <br />St. Joseph County were last amended in 1995; and <br />WHEREAS, Article 10 of the By -Laws provides the appropriate procedure for amending <br />by-laws which requires that approval must be made by a majority of Commissioners at a meeting <br />where all members are present unless Notice of the substance of the proposed amendment is sent <br />to each Commission member at least 10 days before the meeting, and that the proposed by-law <br />amendment be introduced at one meeting and acted upon at the next regular meeting; and <br />WHEREAS, it is desirable and necessary to amend the By -Laws to create an Advisory <br />Board and to permit non -Commission members to serve on Standing Committees. <br />NOW, THEREFORE, BE IT RESOLVED by the Historic Preservation Commission of <br />South Bend and St. Joseph County that its By -Laws be amended as follows: <br />Section I. Article 7 of the By -Laws shall be amended to read as follows: <br />ARTICLE 7 <br />COMMITTEES AND ADVISORY BOARD. <br />Section 1. Standing Committees. The standing Committees of the Commission shall be Budget <br />and Finance, Standards and Maintenance, Historic Landmarks, Historic Districts, Public <br />Relations and Community Education Committee, and Legal Committee. Each Committee shall <br />be chaired by a member of the Commission who shall be appointed by the President wkieh-shall <br />be named by the Genffnissien at the first meeting in the calendar year and said Committees <br />Chairs shall serve for the calendar year or until their successors are appointed or the Commission <br />by resolution shall determine otherwise . MembershiD on the South Bend and St. Joseph County <br />Historic Preservation Commission is not a prereauisite for membership on standing committees.. <br />Standing Committee members maybe selected from interested and knowledgeable citizens of <br />South Bend and St. Joseph County. and Committee members shall reDort to the Commission <br />President. The maiority of every_ standing Committee shall be constituted of Commission <br />members. <br />Section 2. Special Committees. Special Committees may be appointed by resolution of the <br />Commission, or by unanimous consent, to serve at the pleasure of the Commission. The <br />President may appoint special Committees between Commission meetings to act upon urgent <br />matters and report at the next meeting of the Commission. Such Special Committees appointed <br />by the President may continue if authorized by resolution of the Commission or by unanimous <br />consent.
