CONSULTANT SERVICES CONTRACT <br />The Historic Preservation Commission of South Bend and Saint Joseph County (hereafter <br />"HPC ') and Rhonda Saunders, who was formerly the Executive Director of the HPC, hereby <br />enter into this Contract for the part time services of Rhonda Saunders as a consultant for HPC, to <br />assist the HPC during the period until all staff vacancies are filled, and for at least one month <br />thereafter. <br />Whereas: Family obligations require Rhonda Saunders to move out of Indiana, making her <br />unavailable for continued full time employment as Executive Director; nevertheless, her <br />knowledge, training, and experience may be necessary to the HPC until all vacancies in the HPC <br />office are filled. <br />Now, therefore, the parties agree: <br />1) Rhonda Saunders will perform the following services for HPC as needed or requested by <br />HPC: <br />a) Assist in completing various projects now under way, including, but not limited <br />to, grant applications, budget planning, spring newsletters, pamphlets, historic <br />district and landmark matters, and liaison ballots. <br />b) Advise and assist in training newly hired staff. <br />c) Keep complete records of all services she performs, and complete time logs for <br />services she renders to HPC. The time logs shall be submitted on a regular basis <br />for purposes of payment for consultant services rendered. <br />d) Attend meetings if and as needed, or as requested by any HPC member, provided <br />that such meetings do not conflict with Ms. Saunders' other personal or <br />professional obligations. <br />e) Maintain the confidentiality of all information disclosed to her during the course <br />of her services, which HPC deems to be confidential, unless HPC consents in <br />writing to the disclosure of that information. <br />2) HPC will pay Rhonda Saunders twenty dollars ($ 20.00) per hour for each hour or <br />fractional part of an hour for which Ms. Saunders submits proper logs or records of her <br />service as described above. <br />3) Payment for Ms. Saunders's services shall be made on a monthly basis. <br />4) HPC and Ms. Saunders anticipate that Ms. Saunders will provide at least eight, but not <br />more than forty hours of service per month. Payment for more or fewer hours of service <br />per month shall not be made unless HPC or its staff authorize in advance that more or <br />fewer hours of service be rendered for that period. <br />5) Ms. Saunders shall not be designated nor treated as an employee by HPC. She shall be <br />an independent contractor, and, as such, shall assume and pay in full any and all of her <br />own payroll taxes, unemployment insurance, workers compensation insurance, or other <br />legally mandated costs, expenses, or withholdings associated with her work. <br />
