2. Legal <br />Mrs. DeRose stated that the project of manufacturing light poles and selling them to benefit the <br />Commission can not be done with in the present structure. The Commission would have to <br />create a separate, not for profit, business with 501 C3 charitable status in order to transfer the <br />funds collected from the sale of the poles to the Commission. She further noted that this may <br />cause a problem do to the extended time it would take to acquire such status. Mr. Weiner asked <br />if an existing 501 C3 could take charge of the project. Mrs. DeRose stated that it may be <br />possible, however, it may require the amending of the existing 501 C3 as well as getting <br />permission from the IRS to alter the purpose of the existing 501 C3. Mr. Talley interjected that <br />the Staff has received calls from the Center City Associates regarding the street lights and the <br />vast amount of interest being expressed by down town business owners. Mrs. DeRose also <br />noted that the Commission should use an out side attorney to incorporate the new not for profit <br />business. She further noted that the Commission could hire an attorney by asking the County to <br />pay the attorney fees, as they will benefit from any money the Commission will earn. There <br />was some discussion over how the new income could benefit the Commission. <br />IV. Old Business <br />Mr. Oxian noted that both 312 DonMoyer and 101 S. Lafayette passed the Common Council <br />and are now Local Landmarks. <br />V. New Business <br />A. Meeting Schedule for 2000 <br />Mrs. Saunders stated that the proposed schedule for 2000, is every third Monday of the month <br />except for February which will be held on the fourth Monday. Mrs. Hostetler moved to <br />approve the schedule. Mr. Ujdak seconded the motion. The motion passed unanimously. <br />VI. Hearing of Visitors <br />None. <br />VII.
