"Bond" or "Bonds" means one or more of the Economic Development Revenue <br />Refunding Bonds (First Bank Center Project) of the Issuer to be issued hereunder in an <br />aggregate principal amount not to exceed $8,030,384.77. <br />"Bond Fund" means the fund created in Section 502 hereof. <br />"Bond Purchase Agreement" means the Bond Purchase Agreement dated as of <br />November 15, 1993, among the Issuer, the Borrower and the Purchaser (an executed <br />counterpart of which has been delivered to the Trustee). <br />"Bondholder" or "holder" or "owner of the Bonds" means the registered owner of any <br />fully registered Bond. <br />"Borrower" means First Bank Center Limited Partnership, a limited partnership <br />organized under the laws of the State of Minnesota, and any successor Person thereto <br />permitted by the Loan Agreement. <br />"Business Day" ,means any day other than a Saturday, Sunday or other day on which <br />banks in Chicago, Illinois, or Indianapolis, Indiana are required by law to close. <br />"Code" means the Internal Revenue Code of 1954, as amended and supplemented. <br />"Default" means an event or condition the occurrence of which would, with the lapse <br />of time or the giving of notice or both, become an Event of Default. <br />"Escrow Agreement" means the Escrow Agreement dated as of November 15, 1993 <br />among the Trustee, the Prior Trustee and the Issuer. <br />"Event of Default" means those events specified in and defined by Section 901 hereof. <br />"Extraordinary Services" and "Extraordinary Expenses" mean all services rendered <br />and all expenses incurred under the Indenture other than Ordinary Services and Ordinary <br />Expenses. <br />"FBT" means FBT Bancorp, Inc., an Indiana corporation, and its successors and <br />assigns under the FBT Lease. <br />"FBT Lease" means that certain Operating Lease dated as of April 15, 1981 between <br />Borrower, as lessor, and FBT, as lessee, as the same may from time to time be supplemented <br />or amended. <br />"Hereof', "herein ", "hereunder" and other words of similar import refer to this <br />Indenture as a whole. <br />"Indenture" means these presents as supplemented by any supplemental agreements <br />executed by the Issuer and the Trustee permitted hereby. <br />ST <br />
