provisions for amending the Loan Agreement, to all of which the <br /> holder hereof, by its acceptance hereof, assents. <br /> The principal of this Note is subject to prepayment by the <br /> Borrower in the manner and as otherwise set forth in the Loan <br /> Agreement, in whole or in part, at a price equal to 100% of the <br /> principal amount hereof to be prepaid plus accrued and unpaid <br /> interest thereon to the date fixed for prepayment, plus a premium <br /> if such prepayment is paid at any time during the period prior to <br /> December 15 of the years indicated below but after the end of the <br /> preceding period: <br /> Premium as Percentage of <br /> Year Principal Amount Prepaid <br /> 1994 4% <br /> 1995 3% <br /> 1996 2% <br /> 1997 1% <br /> 1998 and thereafter 0% <br /> This Note may not be assigned or endorsed to any party without <br /> the express written consent of the Borrower. <br /> The Borrower hereby unconditionally waives diligence, <br /> presentment, protest, notice of dishonor and notice of default of <br /> the payment of any amount at any time payable to the Issuer under <br /> or in connection with this Note.
