SECTION 11. Amendments. This Agreement shall be amended only by a written <br /> instrument executed by the parties hereto, and only upon receipt of an opinion of nationally <br /> recognized bond or tax counsel acceptable to the Issuer that such amendment or revision will not <br /> adversely affect the exclusion from gross income for federal income tax purposes of interest on <br /> the Bonds. <br /> SECTION 12.
