<br /> Ladies and Gentlemen:
<br /> We have acted as bond counsel in connection with the issuance and sale by City of South
<br /> Bend, Indiana (the "Issuer") of its $4,100,000 aggregate principal amount of Multifamily
<br /> Housing Revenue Bonds, Series 2020A (Cedar Glen Apartments Project) (the "Bonds"), and in
<br /> such capacity, we have on the date of this opinion letter rendered our approving opinion
<br /> regarding the Bonds.
<br /> We have examined (a) a certified transcript of proceedings relating to, among other
<br /> things, (i) the authorization, issuance and sale of the Bonds, and (ii) the authorization and
<br /> execution of the Trust Indenture, dated as of April 1, 2020 (the "Indenture"), between the Issuer
<br /> and The Huntington National Bank, as trustee, the Loan Agreement, dated as of April 1. 2020
<br /> (the "Loan Agreement"), between the Issuer and MAH Cedar Glen, LP (the "Borrower"), and
<br /> the Bond Purchase Agreement, dated April _, 2020 (the "Bond Purchase Agreement"), among
<br /> the Issuer, the Underwriter named therein (the "Underwriter") and the Borrower; (b) opinions of
<br /> counsel for the Issuer and MAH Cedar Glen, LP (the "Borrower"), dated as of the date of this
<br /> opinion letter; (c) certificates showing execution, authentication and delivery of the Bonds and
<br /> no litigation pending as of the date hereof; and (d) the statements contained in the Official
<br /> Statement, dated April 2020, relating to the Bonds (the "Official Statement") under the
<br /> captions "INTRODUCTION," "THE BONDS" (other than the statements contained under the
<br /> subcaption "Book Entry Only System"), "SECURITY AND SOURCES OF PAYMENT FOR
<br /> THE BONDS," "THE INDENTURE," "THE LOAN AGREEMENT," "TAX MATTERS," and
<br /> "APPENDIX A" (collectively, the"Identified Sections").
<br /> We have also examined the constitution and statutes of the State of Indiana (the "State"),
<br /> including particularly Indiana Code 36-7-11.9 and 12 et seq., as supplemented and amended (the
<br /> "Act"), and such other documents, statutes, certifications, records and matters of law as we have
<br /> deemed necessary for purposes of this opinion.
