EXHIBIT B <br /> COMPLETION CERTIFICATE <br /> To: <br /> THE HUNTINGTON NATIONAL BANK <br /> CITY OF SOUTH BEND, INDIANA <br /> Pursuant to Section 3.6 of the Loan Agreement (the "Agreement") between the The <br /> Huntington National Bank (the "Issuer") and MAH Cedar Glen, LP (the "Borrower"), dated as of <br /> April 1, 2020, and relating to the captioned Bonds, the undersigned Authorized Borrower <br /> Representative hereby certifies to that(with capitalized words and terms used and not defined in this <br /> Certificate having the meanings assigned in the Agreement): <br /> (a) The Project was substantially completed and available and suitable for use as <br /> multifamily housing on <br /> (b) All other facilities necessary in connection with the Project have been acquired, <br /> constructed, equipped and improved, <br /> (c) The acquisition, construction, renovation, equipping and improvement of the <br /> Project and those other facilities have been accomplished in such a manner as to conform in all <br /> material respects with all applicable zoning, planning, building, environmental and other similar <br /> governmental regulations. <br /> (d) Except as provided in subsection (e) of this Certificate, all costs of that <br /> acquisition and installation due on or after the date of this Certificate and now payable have been <br /> paid. <br /> [(e) The Trustee shall retain $ in the Project Fund for the <br /> payment of costs of the Project not yet due or for liabilities which the Borrower is contesting or <br /> which otherwise should be retained, for the following reasons] <br /> (f) This Certificate is given without prejudice to any rights against third parties that <br /> now exist or subsequently may come into being. <br /> IN WITNESS WHEREOF, the Authorized Borrower Representative has set his or her hand <br /> as ofthedayof <br /> Authorized Borrower Representative <br /> B-1 <br />
