adversely affect the business or credit of the Borrower on an individual basis or would <br /> materially impair the ability of the Borrower to perform this Agreement, the Regulatory <br /> Agreement or the Note or any other agreement or instrument herein or therein <br /> contemplated. <br /> (i) Notice of Other Matters. The Borrower shall promptly notify the Trustee <br /> in writing of any of the following events: <br /> (1) Any material change with respect to the business, assets, <br /> liabilities, financial condition, results of operations or business prospects of <br /> the Borrower other than changes in the ordinary course of business the effects <br /> of which have not been materially adverse. <br /> (2) A default by the Borrower in any material respect under any <br /> material agreement to which the Borrower is a party or by which the Borrower <br /> or its properties or assets may be bound, giving in each case the details thereof <br /> and specifying the action proposed to be taken with respect thereto. <br /> (j) Cooperation in Perfecting Security Interests, Etc. The Borrower shall <br /> promptly perform, upon request of the Trustee, such acts as may be necessary or <br /> advisable to perfect and maintain any Permitted Lien provided for in this Agreement or in <br /> any agreement or document contemplated herein or therein, or otherwise to carry out the <br /> intent of this Agreement. The Borrower shall, and shall promptly execute, deliver and <br /> perform or cause to be done, executed, delivered and performed, on request of the <br /> Trustee, all such documents, instruments, agreements, things and acts, including, without <br /> limitation, financing statements, continuation statements and mortgages as may be <br /> necessary or advisable to perfect or maintain a Permitted Lien on any and all assets or <br /> rights owned by the Borrower, or any interest of the Borrower therein, and the Trustee <br /> and its officers, employees and authorized agents, or any of them, are hereby irrevocably <br /> appointed the attorneys-in-fact of the Borrower to do all acts and things which the <br /> Trustee may deem necessary or advisable to preserve, perfect and continue perfected any <br /> Permitted Lien in favor of the Trustee. <br /> (k) Environmental Matters. The Borrower will take and continue to take <br /> prompt action to remedy all environmental pollution and contamination, hazardous waste <br /> disposal and other environmental cleanup problems, if any, whether or not such cleanup <br /> problems have resulted from the order or request of a municipal, state, federal, <br /> administrative or judicial authority, or otherwise. <br /> (1) Non-discrimination. The Borrower will not and will require each <br /> contractor, subcontractor and commercial tenant of the Project to covenant that it will not <br /> discriminate by reason of race, creed, color, handicap, national origin or sex in the <br /> employment of any Person employed by it in connection with the Project or working in <br /> or on the Project. The Borrower will require each manager of the Project to covenant that <br /> in the leasing of the Project it will not discriminate by reason of race, creed, color, <br /> handicap, national origin or sex. <br /> 18 <br />
