as the case may be, in satisfaction of any obligations of the Borrower hereunder not <br /> performed by the Borrower in accordance with the provisions hereof, or(ii) incurred as a <br /> result of a request by the Borrower or of a requirement of this Agreement or the Indenture <br /> and not otherwise required to be paid by the Borrower under this Agreement, or (iii) <br /> incurred in the defense of any action or proceeding with respect to the Project or this <br /> Agreement, or in enforcing this Agreement, or arising out of or based upon any other <br /> document related to the issuance of the Bonds; and <br /> (b) To the applicable party, as payment for or reimbursement or prepayment <br /> of any Ordinary Services and Ordinary Expenses and Extraordinary Services and <br /> Extraordinary Expenses of the Trustee as trustee, registrar, authenticating agent and <br /> paying agent, and of any other paying agent, authenticating agent, and registrar on the <br /> Bonds under the Indenture, all as provided in the Indenture, as and when the same <br /> become due; provided that the Borrower may, without creating an Event of Default <br /> hereunder, contest in good faith the necessity for any Extraordinary Services and <br /> Extraordinary Expenses and the amount of any such Ordinary Services, Ordinary <br /> Expenses, Extraordinary Services or Extraordinary Expenses; provided that fees for <br /> Ordinary Services provided for by the respective letter agreements agreed to by the <br /> Borrower and the Trustee, the Registrar, and any Paying Agents and Authenticating <br /> Agents,respectively, shall be considered to be customary. <br /> (c) To the applicable party, all Extension Payments and other sums required <br /> under Section 4.01 of the Indenture in order to revise or extend the Mandatory Tender <br /> Date or remarket the Bonds, and the Borrower further agrees to execute any and all <br /> certificates required by the Issuer, the Trustee or the Remarketing Agent in order to <br /> effectuate such revision, extension or remarketing. <br /> Upon the payment, prepayment, or incurrence of any such cost, expense, or liability <br /> described in this Section by any such party, the Additional Payments in respect thereof shall be <br /> payable upon written demand to the Borrower, which demand shall be accompanied by invoices <br /> or other appropriate documentation concerning the nature, amount and incurrence of such cost, <br /> expense or liability. If the Additional Payments payable under this Section are not paid upon <br /> such demand, such Additional Payments shall bear interest from the date of such payment or the <br /> incurrence thereof at the Interest Rate for Advances until the amount due shall have been fully <br /> paid. The Borrower shall not make Additional Payments from any amounts on deposit in the <br /> Project Fund or the Assignment Fund except pursuant to Section 8.2 hereof or Section 5.09 of <br /> the Indenture. <br /> Section 4.3. Place of Payments. <br /> The Borrower shall make all Loan Payments directly to the Trustee at its designated <br /> corporate trust office. Additional Payments shall be made directly to the person or entity to <br /> whom or to which they are due. <br /> 12 <br />
