SUBGRANT <br />bor <br />This subgrant is entered into on this La401day of �1 ro19, by and between the University of <br />Notre Dame du Lac as Subgrantor (hereinafter referred to as Notre Dame), and the City of South <br />Bend, Indiana, acting by and through its Board of Public Works (hereinafter referred to as <br />Subgrantee). <br />WITNESSETH: <br />WHEREAS, the Lilly Endowment, Inc. (hereinafter referred to as the Endowment) has awarded <br />Notre Dame a grant for the project entitled, "Labs for Industry Futures and Transformation <br />(LIFT) Network: Driving Economic Prosperity in South Bend — Elkhart through Applied <br />Learning and Research" for the purpose of create and launching the Labs for Industry Futures <br />and Transformation (LIFT) Network for the South Bend Elkhart Regional Partnership; and <br />WHEREAS, the Subgrantee operates the South Bend Technology Resource Center (TRC) which <br />represents an outpost of the LIFT Network that is embedded in the community, and <br />WHEREAS, the TRC has a five year goal to equip and reskill the workforce for digital literacy <br />and IT -related roles by offering adult/continuing education courses, and <br />WHEREAS, the Subgrantee has committed Two Million Seven Hundred Thousand Dollars <br />($2,700,000) to build out the TRC space to accommodate this programming, <br />NOW, THEREFORE, the parties, intending to be legally bound, agree as follows: <br />ARTICLE 1. SCOPE OF WORK <br />Subgrantee, as an independent contractor, agrees to perform the work as proposed and otherwise <br />exert reasonable efforts in assisting in the duties set forth in the attached Statement of Work <br />(Exhibit A). Subgrantee shall furnish all necessary equipment, labor and materials in carrying <br />out their respective portions of the work and duties as set forth in attached Exhibit A. <br />ARTICLE 2. PERIODS OF PERFORMANCE <br />The period of performance covered by this Subgrant shall be 60 months, beginning on April 1, <br />2019, and shall not extend beyond March 31, 2024, unless extended in writing by mutual written <br />agreement between the parties. Notre Dame shall have the right to cancel this Subgrant upon <br />thirty (30) days written notice to the Subgrantee if funding from the Endowment shall terminate <br />for any reason during the term hereof of any extensions hereof. <br />ARTICLE 3. KEY PERSONNEL <br />Brian Donoghue, City of South Bend, shall be responsible for the completion of the work and <br />shall not be replaced without prior approval of Notre Dame. The Project Director for Notre <br />Dame shall be Dr. Thomas Fuja. <br />
