retardation or physical disability, unless it can be shown that such disability prevents performance of the work involved, in any manner prohibited by the laws of the United States or of the State of Indiana. 21CP shall comply with all applicable laws and regulations in its hiring and employment practices and policies for any activity covered by this Agreement. 21CP shall comply with all state, federal, and municipal laws, regulations, and standards applicable to its activities pursuant to this Agreement including, but not limited to, the requirements imposed by Ind. Code § 22-9-1- 10 (non-discrimination), the provisions of Ind. Code § 5-22-16.5 (disqualification for dealings with the government of Iran), and the provisions of Ind. Code § 22-5-1.7 (requiring E-Verify for new employees and prohibiting employment of unauthorized aliens). Each of the foregoing provisions is incorporated herein as if set forth in full, and 21CP certifies that it is in compliance with each such provision and shall remain in compliance through the term of this Agreement. Miscellaneous Entire Agreement; Amendment, Applicable Law. This document, and the identified exhibits, schedules and attachments made a part hereof or incorporated herein, sets forth the entire agreement and understanding between the parties as to the subject matter hereof, and merges and supersedes all prior communications, discussions, agreements, and understanding of any and every nature between them, whether written or oral. This Agreement may be modified or amended only by a separate writing signed by authorized representatives of both 21CP and the City. This Agreement will be construed and interpreted according to the laws of the State of Indiana, and any dispute arising out of this Agreement or otherwise concerning 21CP's rendering of the Services will be resolved in the courts located in St. Joseph County, Indiana, unless the Parties mutually agree to a different method of dispute resolution. Confidentiality; Non -Disclosure. The Parties mutually desire that all terms and conditions of this Agreement be and remain confidential. However, the Parties understand and acknowledge that the City must comply with all state and federal disclosure laws. Nothing in this paragraph prohibits either Party from disclosing its terms to their professional financial advisor or tax preparer. If 21CP chooses to make such a disclosure to professional financial advisors or tax preparers, 21 CP must inform said persons of the Agreement's confidentiality obligations, and the advisors/preparers must agree to abide by those same obligations. 21CP will not use, copy, republish, lend, distribute, post on servers, transmit, redistribute, display, in whole or in part, by any means or medium, electronic or mechanical, or by any information storage and retrieval system, any of the work product and or findings prepared by 21CP on behalf of the City for the City other than as expressly authorized by the City, providing written consent thereto. Work Product; Ownership. 21CP will submit its work product to the City in accordance with the terms of the Scope of Work. Any and all work product submitted by 21CP to the City as part of 21CP's performance of the Services will become the exclusive property of the City, and the City will have the right to use and reproduce copies of 21CP's work product as the City determines in its sole discretion without compensation to 21 CP, except the compensation expressly provided for in this Agreement. 8
