ADDENDUM TO AGREEMENT FOR PROFESSIONAL SERVICES <br />This Addendum to Agreement for Professional Services (this "Addendum") is entered into on <br />October 22, 2019, by and between the City of South Bend, acting by and through its Board of <br />Public Works (the "City"), and Auriel Information Systems, Inc., an Indiana corporation (the <br />"Provider") (each a "Party" and collectively the "Parties"). <br />RECITALS <br />A. The City and the Provider entered into an Agreement for Professional Services <br />dated August 1, 2019 (the "Agreement"). <br />B. The Parties desire to modify the Agreement in order to add additional user <br />licenses and to adjust the scope of work. <br />NOW THEREFORE, the Parties mutually agree as follows: <br />1. Exhibit A to the Agreement shall be deleted in its entirety and replaced with the <br />attached Exhibit A. <br />2. Section 2 of the Agreement shall be deleted in its entirety and replaced with the <br />following: <br />o!Ln s_ation. In exchange for the Provider's satisfactory performance of the <br />Services, and subject to the terms and conditions of this Agreement, the City will <br />pay the Provider a total sum not to exceed Two Thousand Nine Hundred Dollars <br />($2,900.00) through December 31, 2019. Thereafter, the City will pay Seven <br />Thousand Two Hundred Dollars ($7,200.00) per year (the "Contract Amount") <br />billed monthly at a rate of Six Hundred Dollars ($600.00). The City will pay the <br />Contract Amount to the Provider in each year in which the Contract is renewed as <br />provided herein. The City will pay the Contract Amount in installments upon <br />invoicing by the Provider (each a "Contract Installment"). The City will not be <br />required to pay any Contract Installment if the City is not satisfied with the <br />Provider's performance under this Agreement or any default or breach of this <br />Agreement by the Provider exists, as the City may determine in its sole discretion. <br />3. This Addendum will go into effect November 1, 2019. <br />4. The parties agree that, unless expressly modified by this Addendum, all other terms <br />and conditions as set forth in the Agreement shall remain in full force and effect. <br />5. Capitalized terms used in this Addendum will have the meanings set forth in the <br />Agreement unless otherwise stated herein. <br />Signature Page Follows <br />
