10. 1"'t i g1 0 The Organization shall comply with federal, state and <br />local laws in its hiring and employment practices and policies for any activity covered by this <br />Agreement. - <br />IL Drug -Free ree Workplace. The Organization hereby agrees to make a good faith <br />effort to provide and maintain a drug -free workplace. The Organization will give written <br />notice to the City within ten (10) days after receiving actual notice that the Organization or <br />an employee of the Organization within the State of Indiana has been convicted of a criminal <br />drug violation occurring in the workplace. <br />12. - Verify. —The Organization hereby certifies that it does not and will not <br />knowingly employ or contract with an unauthorized alien, nor retain any employee or contract <br />with a person that the Organization subsequently learns is an unauthorized alien. The <br />Organization agrees that he/she/it shall enroll in and verify the work eligibility status of all of <br />the Organization's newly hired employees through the E-Verify Program as defined by I.C. <br />Sec. 22-5-1.7-3. <br />13. E d 'r � regLtie ° t e^ This Agreement sets forth the entire <br />agreement and understanding between the parties as to the subject matter hereof, and merges <br />and supersedes all prior discussions, agreements, and understanding of any and every nature <br />between them. This Agreement may be amended only by a separate writing, approved both <br />by the Organization and the City. <br />14. Severability, If any term or provision of this Agreement is held by a court of <br />competent jurisdiction to be invalid, void, or unenforceable, the remaining terms and provisions <br />of this Agreement shall continue in full force and effect unless amended or modified by mutual <br />consent of the Parties. <br />15. Waiver. Neither the failure nor any delay on the part of a Party to exercise any <br />right, remedy, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall <br />nay single or partial exercise of any right, remedy, power, or privilege preclude any other or further <br />exercise of the same or of any right, remedy, power, or privilege with respect to any occurrence <br />be construed as a waiver of any such right, remedy, power, or privilege with respect to any other <br />occurrence. No waiver shall be effective unless it is in writing and is signed by the party asserted <br />to have granted such waiver. <br />16. Goveming Law; .l ris f(ILotiL trrl2fta)ice with Laws. This Agreement shall be <br />construed and interpreted according to the laws of the State of Indiana without regard to conflicts <br />of laws statutes. Any dispute arising under the terms of this Agreement shall be filed in any court <br />of competent jurisdiction in St. Joseph County, Indiana. The Organization agrees to comply with <br />all applicable federal, state and local laws, rules, regulations and ordinances, and all provisions <br />required thereby are hereby incorporated herein by reference. The Organization shall comply with <br />federal, state and local law in its hiring and employment practices and policies for any activity <br />covered by this Agreement. <br />17. 4ssignment, The Organization shall not assign or subcontract the whole or any <br />
