BADGER METER r �r <br />BEACON AMA MANAGED SOLUTION <br />Badger Meter_ MASTER AGREEMENT <br />(e) Provide Customer Content that infringes on the intellectual rights of any person or entity or <br />use the Portal, Service or Documentation in violation of the intellectual property rights of Badger <br />Meter, its Suppliers or any third party. <br />(f) Use the Portal or Service in a manner that violates any applicable international, federal, <br />state or local laws, rules or regulations. <br />(g) Assert or authorize, assist or encourage any third party to assert against Badger Meter, its <br />affiliates, customers, vendors, business partners, Servicers or licensors any intellectual property <br />infringement Claim regarding the Portal, Service or Documentation. <br />(h) Transmit content or messages that are illegal, fraudulent, threatening, abusive, defamatory, <br />or obscene. <br />(i) Make any unauthorized connection to Badger Meter's information technology architecture <br />("Network") <br />(j) Communicate any unsolicited commercial, voice, SMS, or other message. <br />(k) Upload or transmit any "virus," "worm," or malicious code or access, alter, or interfere with <br />the communications of and/or information about another customer. <br />(1) Take actions that could cause damage to or adversely affect Badger Meter, the Service, <br />Portal, Suppliers, Network or the property or reputation of Badger Meter or its Suppliers. <br />Customer and Badger Meter agree to make good faith efforts to minimize abuse or fraudulent use of <br />the Portal and Service, to promptly report to each other any such abuse or fraudulent use of which <br />they become aware, and to fully cooperate in any investigation or prosecution initiated by Badger <br />Meter, its Suppliers or Customer related to abuse or fraudulent use of the Portal and Service. <br />(7) CUSTOMER SUPPORT. Badger Meter will provide Customer the support services described <br />in Exhibit 2 - Service Level Agreement. <br />(8) CUSTOMER CONTENT. <br />(a) Customer Content Defined. Customer, its Authorized Users and Authorized Consumers <br />will provide Badger Meter and its Suppliers certain text, audio, video, images, Customer Data, <br />customer billing information, personally identifiable information or other content ("Customer <br />Content"). <br />©2019 Badger Meter, Inc.
