BADGER ETER <br />III�IIIIIIIIIII ��i� ��;��, <br />EACON A A MANAGED SOLUTION � �. <br />IN P Badger Meter MASTER AGREEMENT <br />limited to, the generally accepted practices in the information technology service management <br />industry for providing secure data handling and management, including meeting or exceeding <br />Information Technology Infrastructure Library (ITIL) standards for logical and physical security and <br />all requirements regarding the protection of data in its possession or under its control. A party will <br />not be liable for any failure of the other party to comply with this requirement. <br />(19) DATA SECURITY AND RECOVERY. <br />(a) Data Security. In order to protect the Customer Content and prevent unauthorized access <br />to or use of the Customer Content, Portal or Service, Badger Meter has implemented <br />commercially reasonable internal procedures and systems designed to protect the privacy and <br />security according to the requirements set forth in Exhibit 3 BEACON AMA ,Managed <br />Solution Security Policy ("Security Standards"), consistent with applicable international, <br />federal, state and local laws. The purpose of the security policy is to identify reasonably <br />foreseeable and internal risks to security and unauthorized access to Badger Meter's Network <br />and minimize security risks, including through risk assessment and regular testing. Badger <br />Meter will designate one or more employees to coordinate and be accountable for the security <br />program. <br />(b) Protection of Customer Content. Badger Meter will implement reasonable and appropriate <br />measures for the Badger Meter Network designed to help Customer secure the Customer <br />Content against accidental or unlawful loss, access or disclosure in accordance with Badger <br />Meter"s Security Standards. Badger Meter may modify its Security Standards from time to time <br />but will continue to provide at least the same level of security as described in the Security <br />Standards as of the Effective Date. The security and data privacy provisions in this Section <br />contain Badger Meter, and its Suppliers entire obligation regarding the security, privacy and <br />confidentiality of the Customer Content. <br />(c) Data Storage. Badger Meter will employ commercially reasonable storage (including <br />backup, archive and redundant data storage) and commercially reasonable precautions to <br />prevent the loss of or alteration of Customer Content, but does not guarantee against any such <br />loss or alteration. Badger Meter will not serve as Customer's official record keeper. Customer <br />will maintain source documents of the Confidential Information (such as billing information) <br />hosted by Badger Meter under this Agreement. <br />(d) Customer Responsibilities. Customer is responsible for properly configuring and using <br />the Service and taking steps to maintain appropriate security, protection and backup of the <br />Customer Content, including but not limited to the use of encryption technology to protect <br />Customer Content from unauthorized access and will perform routine archiving of the Customer <br />Content.
