expense install additional HVAC required. Landlord shall <br />approve the install and Tenant shall have the right to remove <br />said HVAC units should they vacate leased premises at the end <br />of the initial term of this lease. Tenant must be current with <br />rents and in good standing with Landlord and must repair any <br />damage caused by said HVAC removal. <br />Tenant shall accept the balance of property in its "AS IS" <br />Condition <br />11. TENANT IMPROVEMENTS: Tenant shall be responsible for the balance fit -up and furnishing <br />subject to Landlord approval <br />12. SIGNAGE: Subject to Landlord's approval, Tenant's a) logos, b) colors, <br />and c) exterior signage specifications shall be pre approved and <br />included in the Lease <br />13. LEASE DOCUMENT: This intent is subject to the execution of a mutually agreeable <br />Lease document within 30 days of acceptance <br />14. FRANCHISE APPROVAL This intent is conditioned upon Edible Arrangements corporate <br />approval within 20 days of acceptance of this agreement <br />15. MISCELANEOUS: This Intent is conditioned upon reaching satisfactory agreements <br />with the City of South Bend regarding the following within 15 <br />days of acceptance of this Intent to Lease Agreement: <br />A. Temporary Permit for a construction dumpster in front of <br />leased premises for a total of two days, or an extended <br />period of time if dumpster is located within Leighton <br />Parking Garage. <br />B. A one day move in parking permit in front of leased <br />premises. <br />C. Landlord shall provide 6 permits for the Leighton Parking <br />Garage at a $15.00 / month discount. (current rates are <br />$45.00 / month for unreserved spaces. Discounted rate will <br />be $30.00 / month) <br />D. Satisfactory Garbage Disposal Plan (The trash is emptied <br />six days a week and is shared between Leighton Plaza, <br />Healthplex and Michigan Street Shoppes. At this time the <br />amount of pickups are adequate to keep up with the need of <br />the Tenants, but this could be adjusted if necessary. It is <br />comingled trash and recycling) <br />This proposal shall not constitute an offer to lease the premises, and is not a legal, binding agreement. It is <br />intended to reflect the general understanding of the terms and conditions as negotiated by Landlord and <br />Tenant, which are intended to be incorporated into a formal lease agreement. <br />Dated this 30th day of July, 2012 <br />
