This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to the conflicts of laws doctrine of such state. 9. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and may be modified only by a writing signed by both parties hereto. 10. Failure of Licensor to insist upon strict compliance with any of the terms, covenants or conditions herein shall not be deemed a waiver of such terms, covenants or conditions, nor shall any waiver or relinquishment of any right or power hereunder at any one or more times be deemed a waiver or relinquishment of any right or power at any other time or times. 11. Adequate adult supervision will be provided in the suite throughout the event. 12. This Agreement shall be binding upon the parties hereto and their respective successors and assigns. Notwithstanding the foregoing, Licensee shall have no right to assign this Agreement without the prior written consent of Licensor.
