or certificates of deposit of commercial banks or savings and loan associations, including the <br /> Trustee, which mature not more than one year after the date of purchase; provided the banks or <br /> savings and loan associations (rather than their holding companies) are rated for unsecured debt <br /> at the time of purchase of the investments in the two highest full classifications established by <br /> Moody's Investors Service, Inc. and Standard & Poor's Ratings Services, Inc.; (vi) U.S. dollar <br /> denominated deposit accounts or commercial paper rated at the time of purchase in the single <br /> highest full classification by Moody's Investors Service, Inc. and Standard & Poor's Ratings <br /> Services, Inc. and which matures not more than 270 days after the date of purchase; (vii) <br /> investment agreements fully and properly secured at all times by collateral security described in <br /> (i), (ii) or (iii) above or issued by entities rated in the single highest full classification by <br /> Moody's Investors Service and Standard & Poor's Ratings Services, Inc. when such agreement <br /> was entered into; and (viii) repurchase agreements with any bank or trust company organized <br /> under the laws of any state of the United States of America or any national banking association <br /> (including the Trustee) or government bond dealer reporting to, trading with, and recognized as a <br /> primary dealer by the Federal Reserve Bank of New York, which agreement is secured by any <br /> one or more of the securities described in clauses (i), (iii) or (iv) above; provided, underlying <br /> securities are required by the repurchase agreement to be continuously maintained at a market <br /> value not less than the amount so invested. <br /> "Rating Agency" or "Rating Agencies" means Fitch, S&P or Moody's, according to <br /> which of such rating agencies then rates a Bond; and provided that, if none of such rating <br /> agencies then rates a Bond, the teem "Rating Agency" or "Rating Agencies" shall refer to any <br /> national rating agency(if any) that provides such rating. <br /> "Rating Category" means one of the generic rating categories of the applicable Rating <br /> Agency, without regard to any refinements or gradations of such generic rating category by <br /> numerical or other modifier. <br /> "Record Date" means the fifteenth day of the month immediately preceding any Interest <br /> Payment Date. <br /> "Redevelopment Commission"means the South Bend Redevelopment Commission. <br /> "Refunding Bonds" means Additional Bonds issued pursuant to Section 2.9 hereof and <br /> any Supplemental Indenture for the purpose of refunding any Bonds which are outstanding <br /> hereunder. <br /> "Registrar" means initially U.S. Bank National Association, in Indianapolis, Indiana, a <br /> national banking association organized and existing under the laws of the United States of <br /> America or any successor thereto. <br /> "Requisite Bondholders" means the holders of 66-2/3% in aggregate principal amount of <br /> Bonds. <br /> "River West Economic Development Area" means the economic development area <br /> within the District previously established by the Redevelopment Commission in accordance with <br /> IC 36-7-14. <br /> 7 <br />
