16. TECHNICAL SUPPORT. NEC may provide Customer with technical support services, in accordance <br />with the Maintenance Agreement, if selected by Customer, <br />16. PRODUCTIVE USE. When applicable, the System shall achieve Go -,Live and shall be ready for <br />Productive Use when Customer approves, in writing, the deliverables within the Statement of Work. In <br />the event any System, Equipment, or Software delivered after the date of execution of this Agreement <br />is put into Productive Use by the Customer, notwithstanding any failure to pass any System acceptance <br />test, and such Productive Use extends for a cumulative duration in excess of sixty (60) days, the <br />applicable warranty provided shall commence and Customer shall pay the remaining balance of all <br />monies due, the Solution shall then be deemed accepted, <br />17. SUBSTITUTION. NEC may at any time before Final Acceptance, add, delete, and/or substitute items <br />of Equipment and Software comprising the Solution ("Substitutions"), provided that such Substitutions <br />will not adversely affect the functionality and performance of the Solution specified in NEC's Proposal. <br />Substitutions do not adjust a fixed priced contract, <br />18. STATEMENT OF WORK ("SOW''') CHANGES. Customer may request changes in the SOW in <br />connection with the performance of the Agreement. NEC will use commercially reasonable efforts to <br />evaluate the implications of such changes, including, without limitation, the cost and schedule of any <br />proposed changes. <br />(j) If changes in design, workmanship, or material are of such a nature as to increase the cost of any <br />part of the work, the price fixed in this Agreement will be adjusted by such amount as NEC and <br />Customer agree upon as the reasonable and proper allowance for the adjustment in the cost of the <br />work. <br />(ii) A change in the SOW will not be valid unless NEC has provided written approv.ali of such change <br />and the resulting adjustment in, price has been agreed upon in writing by NEC and Customer. No <br />oral statement of any person whatsoever shall in any manner or degree modify or otherwise affect <br />the terms of this Agreement or the requirements of the SOW. <br />Bio,metric Master Purchase and SMes Agreement v1 0062015 Page 6 <br />
