REGULAR MEETING OCTOBER 10, 2011 332 WHEREAS, MLEA is the owner of real property situated in St. Joseph County, Indiana, and more particularly described in EXHIBIT B (the "MLEA Property"); and WHEREAS, the City requires the MLEA Property in order to construct its widening project along the Olive Road right of way; and WHEREAS, the City Property is adjacent to other property owned by MLEA and MLEA desires to construct new facilities on the City Property adjacent to its existing facilities; and WHEREAS, the City and MLEA desire to exchange and transfer between themselves, the City Property and the MLEA Property, together with other good and valuable consideration, and WHEREAS, the City, acting by and through the Board, hereby expresses its desire to effect the exchange of the properties with MLEA. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF PUBLIC WORKS OF THE CITY OF SOUTH BEND, INDIANA, AS FOLLOWS: I. The exchange of the City Property for the MLEA Property, together with other good and valuable consideration is approved and authorized. 2. The Mayor of the City of South Bend and the South Bend City Clerk shall be, and hereby are, authorized, respectively, to execute and attest to the execution of a deed conveying all the right, title and interest of the City in and to the City Property to MLEA and are further directed to deliver said deed to MLEA for recording in the Office of the St. Joseph County Recorder. 3. The Mayor is authorized to accept the deed conveying all the right title and interest of MLEA in and to the MLEA Property and shall cause such deed to be presented for recording in the Office of the St. Joseph County Recorder. 4. This Resolution shall be in full force and effect upon its adoption.
