AGREEMENT FOR CONSULTING SERVICES <br />THIS AGREEMENT, made and entered into this Zit_ day of �� <br />2011, by and between the City of South Bend, Indiana, acting through its Board of <br />Public Works (hereinafter referred to as the "OWNER "), and R. W. Armstrong & Assoc., <br />Inc., an Indiana corporation with its principal office at 1251 N. Eddy Street, Suite 201, <br />South Bend, Indiana, 46617 (hereinafter referred to as "CONSULTANT "). <br />WITNESSETH THAT: <br />WHEREAS, the OWNER requires the services of the CONSULTANT for <br />providing engineering services defined in Article 1.1. <br />WHEREAS, CONSULTANT has the ability to perform such tasks for the OWNER <br />and is willing to do so upon the terms and conditions stated herein. <br />NOW, THEREFORE, in consideration of the terms, conditions and covenants <br />contained or incorporated herein, and the mutual promises hereinafter enumerated, the <br />parties agree as follows: <br />ARTICLE 1. CONSULTANT'S SERVICES <br />1.1 Nature of Services. CONSULTANT shall, upon OWNER's request and written <br />authorization, perform consulting tasks and services which may include, but shall <br />not be limited to, the following options: <br />1.1.1 Provide engineering and bid related services required to develop <br />construction documents for a site plan for the new South Bend Emergency <br />Response Center as further described in Exhibit "A" - Scope of Services. <br />1.2 Initiation of Tasks. In order to facilitate performance of services by <br />CONSULTANT, the OWNER shall review requests and plan submittals. Upon <br />approval, the OWNER shall authorize services for the next phase in accordance <br />with the Scope of Work. <br />1.3 Notice to Proceed. The CONSULTANT will begin work upon receipt of the <br />written Notice to Proceed or Purchase Order by the OWNER. The Notice to <br />Proceed or Purchase Order will also include the phase of work description, the <br />fee mutually agreed upon by the parties and an anticipated project completion <br />date. <br />1.4 CONSULTANT's Additional Services. If authorized in writing by the OWNER, the <br />CONSULTANT shall furnish additional services which will be paid for by the <br />OWNER as indicated in Article 2. <br />Page 1 of 6 <br />
