WHEREAS, the Commission desires to transfer the Real <br />Property and Structure the City of South Bend with the intent and <br />upon the condition that the City of South Bend reconvey the real <br />property to the South Bend Heritage Foundation, Inc. (SBHF) for the <br />sum of One Dollar ($1.00) for use by SBHF in its revitalization of <br />the West Washington- Chapin Revitalization Area and with the <br />understanding that SBHF will cause the relocation of the Structure <br />to the Real Property and that the Structure, once relocated to the <br />Real Property, will be rehabilitated to house an African American <br />Resource Center, the same to be completed within twelve (12) months <br />of the relocation of the Structure to the Real Property; and <br />WHEREAS, pursuant to I.C. 36- 9 -6 -3, the Board of Public <br />Works of the City of South Bend (the "Board ") has custody of and <br />may maintain all real property of the City of South Bend; and <br />WHEREAS, pursuant to I.C. 36- 1 -11 -8, the City of South <br />Bend, acting by and through the Board, may exchange or transfer <br />property with another governmental entity upon terms and conditions <br />agreed upon by the two (2) entities as evidenced by the adoption of <br />substantially identical resolutions of each entity; and <br />WHEREAS, the Redevelopment, acting through the <br />Commission, and pursuant to I.C. 36- 7- 14- 12.2(a)(3), may exchange <br />or transfer property with another governmental entity upon terms <br />and conditions agreed upon by the two (2) entities as evidenced by <br />the adoption of substantially identical resolutions of each entity; <br />and <br />NOW, THEREFORE, BE IT RESOLVED BY THE SOUTH BEND <br />REDEVELOPMENT COMMISSION AS FOLLOWS: <br />1. That the transfer of the Real Property and <br />Structure, as described above, by the City of South Bend, <br />Department of Redevelopment, acting by and through the South Bend <br />Redevelopment Commission to the City of South Bend, Indiana for the <br />sum of One Dollar ($1.00) and pursuant to the terms and <br />restrictions set forth above, shall be, and hereby is, approved. <br />2. That the President and Secretary of the Commission <br />shall be, and hereby are, authorized, respectively, to execute and <br />attest to the execution of a warranty deed to the Real Property and <br />a quitclaim deed and bill of sale to the Structure conveying all <br />its right, title and interest in and to the Real Property and <br />Structure to the City of South Bend upon the occurrence of the <br />condition set forth immediately above. <br />3. That this Resolution shall be in full force and <br />effect upon its adoption by the South Bend Redevelopment <br />Commission. <br />
