RESOLUTION NO. 1900 <br />A RESOLUTION OF THE CITY OF SOUTH BEND, INDIANA, <br />REDEVELOPMENT COMMISSION APPROVING THE <br />EXECUTION OF A QUIT CLAIM DEED AND OTHER <br />RELATED DOCUMENTS RELATING TO THE <br />TJX REDEVELOPMENT PROJECT <br />WHEREAS, the South Bend Redevelopment Commission (the "Commission ") <br />and the City of South Bend, Indiana, (the "City ") have previously entered into a Contract for Sale <br />of Land for Private Redevelopment dated as of April 25, 2002, which provides for the <br />Commission to sell a parcel of property generally located at Sample and Olive Streets in the City <br />to AJW South Bend Realty Corp. (the "Purchaser ") for the purpose of permitting The TJX <br />Companies, Inc., (the "Company "), an affiliate of Purchaser, to construct and equip a <br />warehousing and distribution center (the "Project ") on such Property; and <br />WHEREAS, the Commission desires to enter into the following documents with <br />Purchaser: a Quit Claim Deed, Grant of Easement for Environmental Remediation, Demolition <br />and Construction Easement Agreement and a Memorandum of Contract for Sale of Land for <br />Private Development (collectively, the "Real Estate Documents "); <br />NOW, THEREFORE, BE IT RESOLVED BY THE SOUTH BEND <br />REDEVELOPMENT COMMISSION, AS FOLLOWS: <br />1. The Commission hereby approves the form of Real Estate Documents <br />presented to the Commission at this meeting and authorizes the President of the Commission to <br />execute and the Vice President or Secretary to attest said agreements in the form presented at this <br />meeting with such changes as may be suggested by counsel and approved by the President and <br />Vice President or Secretary with such approval evidenced by the execution and attestation, <br />respectively, thereof. <br />2. The Commission hereby authorizes the President of the Commission to <br />execute and the Vice President or Secretary to attest any and all other documents relating to the <br />Project and necessary to effectuate the closing of said Project upon the advice of counsel. <br />3. This Resolution shall be in full force and effect from and after its passage by <br />the Commission. <br />SBIMAN 1128948v 1 <br />
