RESOLUTION NO. 1891 <br />A RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION <br />RATIFYING, CONFIRMING AND APPROVING AN ADVISORY SERVICES <br />AGREEMENT WITH THE URBAN LAND INSTITUTE RELATED TO THE <br />POTENTIAL EXPANSION OF CENTURY CENTER <br />WHEREAS, the Urban Land Institute ( "ULI ") has offered to provide certain advisory <br />services to the City of South Bend to determine the feasibility of remodeling and expanding the <br />Century Center physical plant (Project); and <br />WHEREAS, pursuant to I.C. 36- 7 -14 -3, the South Bend Redevelopment Commission <br />( "Commission ") is the governing body of the City of South Bend, Department of Redevelopment <br />and, pursuant to I.C. 36- 7 -14 -11 has the duty to promote the use of land in a manner that best serves <br />the interests of the City of South Bend ( "City ") and its inhabitants; and <br />WHEREAS, the Commission has determined that the such expansion of the Century Center <br />would be in the best interests of the City; and <br />WHEREAS, the Commission and ULI have reached an agreement whereby the Commission <br />agrees to purchase and ULI agrees to provide to the Commission advisory services to determine the <br />feasibility of the Project under the terms and conditions contained in an Advisory Services <br />Agreement dated May 30, 2002 ( "Agreement "), a copy of which is attached hereto and incorporated <br />herein as Exhibit "A "; and <br />WHEREAS, Commission further believes that the proposed Project and advisory services <br />as described in the Agreement are in the best interests of the health, safety and the social and <br />economic welfare of the City and its residents and that the Project and advisory services comply with <br />federal, state and local laws under which the Project and advisory services are being undertaken and <br />are being assisted; and <br />WHEREAS, the Agreement between ULI and Commission is subject to final approval by <br />ULI; and <br />WHEREAS, pursuant to Indiana Code § 36- 4 -5 -3, the Mayor for the City of South Bend is <br />empowered to sign contracts of the City; and <br />WHEREAS, in order to facilitate the Project, the Mayor has heretofore executed the <br />Agreement on behalf of the City pursuant to I.C. § 36- 4 -5 -3; and <br />WHEREAS, the Redevelopment Commission desires to ratify the Agreement. <br />
