• 0 E Resolution No. 2154 A RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING THE ASSIGNMENT OF REDEVELOPMENT AGREEMENT BETWEEN THE COMMISSION AND CROWE CHIZEK AND COMPANY, LLP. WHEREAS, the City of South Bend, Indiana, Department of Redevelopment acting by and through the South Bend Redevelopment Commission ( "Commission") approved a Redevelopment Agreement ("Agreement") by and between the Commission and Crowe Chizek and Company, LLP now known as Crowe Chizek and Company, LLC. ("Developer") on December 21, 2000; and WHEREAS, pursuant to Section VII, Subsection A of the Agreement, Developer has the right to assign its rights in the Agreement provided that Developer agrees to notify the Commission in writing at least sixty (60) days prior to any such assignment; and WHEREAS, Developer has requested and Commission has consented to the waiver of the sixty (60) days notice prior to the assignment of rights in the Agreement by Developer to Crowe Group, LLP and Crowe Group Properties, LLC ("Assignee"); and WHEREAS, Assignee has agreed to assume the obligations of Assignor and to be bound by the terms and conditions contained in the Agreement; and NOW, THEREFORE, BE IT RESOLVED BY THE SOUTH BEND REDEVELOPMENT COMMISSION AS FOLLOWS THAT: I . The Assignment between the Commission and Developer to Assignee shall be, and hereby is, approved. 2. This Resolution shall be in full force and effect upon its adoption by the South Bend Redevelopment Commission. ADOPTED at a meeting of the South Bend Redevelopment Commission held at 1300 County-City Building, 227 W. Jefferson Boulevard, South Bend, Indiana 46601 on March 18, 2005.
