Buyer's counsel, which shall occur on or before 5:00 p.m., March 15, 2005. <br />B. "Property" shall mean the real property and improvements located at 1303, <br />1315, and 1321-1323 South Michigan Street, City of South Bend, County of <br />St. Joseph County, State of Indiana and more particularly described at Exhibit <br />"A" attached hereto and incorporated herein. <br />C. ."Purchase Price" shall mean the sum of One Hundred Seventy Five and <br />00/100 Dollars ( $175,000.00) which shall comprise the Purchase Price for <br />the Property. <br />D. "Title Company" shall mean an ALTA-approved title insurance company <br />reasonably acceptable to Buyer, which ultimately will issue a Title <br />Commitment relating to the Property. <br />E. "Title Commitment" shall mean the commitment issued by a Title Company, <br />in which the Title Company commits itself to issue to Buyer an Owner's <br />Policy of Title Insurance upon demand, in the amount of the Purchase Price, <br />setting forth-the state of the title to the Property and subject only to those <br />"permitted exceptions" described in Section 4(a) of this Agreement <br />0 Section 2. Purchase and Sale of the Property. Subject to the terms provisions, and <br />conditions set forth in this Agreement, Seller agrees to sell the Property to Buyer, and Buyer agrees <br />to purchase the Property from Seller. The Property legally is described at Exhibit A, attached hereto. <br />ID <br />Section 3. Purchase Price for Property. The Purchase Price for the Property shall be <br />paid to Seller by Buyer at Closing. Real estate taxes shall be pro-rated to the Date of Closing. <br />Section 4. Exceptions to Title. The Property shall be sold subject to the following: - <br />A. The lien of general real estate taxes not yet due and payable, and <br />B. Liens or encumbrances of a definite or ascertainable amount and which will <br />be paid and discharged in full by or for Seller at or prior to the Closing, and <br />C. Zoning ordinances, and <br />4:1 <br />D. Easements of record, encumbrances, and restrictions of record as shown on <br />the Title Commitment. <br />is 2 <br />
