• <br />r_7 <br />EXHIBIT C <br />CERTIFICATE OF CONSTRUCTION COSTS <br />I, the undersigned, of <br />organization with its principal place of business located at <br />hereby certify as follows: <br />(the "Project Architect "), an <br />I am a duly qualified and registered architect under the laws of the State of <br />Indiana. <br />2. On , 2006, the Project Architect entered into an <br />agreement with Gameday Centers Southeastern, LLC (the "Developer ") to <br />provide certain architectural services in connection with the construction, <br />development and equipping of a structure consisting of (i) a parking facility <br />containing approximately three hundred fifty -nine (359) parking spaces (the <br />"Parking Facility "); (ii) a condo and hotel development containing approximately <br />one hundred fifty (150) condos and providing approximately one hundred (100) <br />hotel spaces (assuming the condo owners make them available for such purpose) <br />(the "Condo Development "); and (iii) ground floor retail shops and/or restaurants <br />totaling approximately 12,000 square feet (the "Retail Shops" and with the <br />Parking Facility and the Condo Development, the "Project "), all located at 121 S. <br />St. Joseph Street, South Bend, Indiana 46601. <br />3. This certificate is being provided pursuant to a certain Development Agreement <br />by and between the Developer and South Bend Redevelopment Commission (the <br />"Development Agreement "). <br />4. It is my professional opinion that the Parking Facility is substantially complete. <br />5. It is my professional opinion that the construction costs attributable to the <br />construction of the Parking Facility —based on the costs listed in the example <br />attached hereto but excluding (i) any portion of development overhead costs or <br />other related soft costs attributable to construction, operation or equipping of the <br />Parking Facility or the Project as a whole, (ii) any costs related to supplemental <br />site work; (iii) any costs associated with constructing, developing or equipping the <br />Condo Development; and (iv) any other costs not related to the Parking Facility, <br />including the costs associated with equipping or building out the Retail Stores — <br />totals . The Parking Facility contains total <br />parking spaces. Attached hereto is the documentation evidencing my opinion, <br />including a verified schedule of values regarding such cost or costs, if any, <br />itemizing the amounts paid the contractor or contractors and allocating them <br />proportionally among the various aspects of the Project. <br />
