0 EXHIBIT E <br />PARKING FACILITY CERTIFICATE OF COMPLETION <br />This Certificate of Completion is made this — day of , 2006, in accordance with the Contract for <br />Sale of Land for Private Development by and between the South Bend Redevelopment Commission (the "Commission ") <br />and Gameday Centers Southeastern, LLC (the "Developer ") dated April 21, 2006 (the "Purchase Contract'): <br />WITNESSETH <br />The Commission and the Developer are parties to the Purchase Contract and a Development Agreement dated <br />April 21, 2006 (the "Development Agreement') regarding the development of certain real estate located at 121 S. St. <br />Joseph Street in South Bend, St. Joseph County, Indiana (the "Site "). Pursuant to the terms of the Purchase Contract and <br />the Development Agreement, the Developer has constructed or caused to be constructed a structure on the Site consisting <br />of (i) a parking facility containing approximately three hundred fifty -nine (359) parking spaces (the "Parking Facility "); <br />(ii) a condo and hotel development containing approximately one hundred fifty (150) condos and providing <br />approximately one hundred (100) hotel spaces (assuming the condo owners make them available for such. purpose) (the <br />"Condo Development'); and (iii) ground floor retail shops and/or restaurants totaling approximately 12,000 square feet <br />(the "Retail Shops" and with the Parking Facility and the Condo Development, the "Project'). The Developer has <br />submitted evidence that the Parking Facility has been completed and information regarding the Constructions Costs (as <br />defined in the Development Agreement). Pursuant to Section VI of the Purchase Contract, the Commission hereby <br />determines as follows: <br />1. The Completion Date for Parking Facility was the _ day of , 200 . <br />2. The Developer's right to elect the Commission Purchase Option as defined in the Development <br />Agreement shall expire on the day of , 20—. <br />3.
