FIRST AMENDMENT TO MASTER AGENCY AGREEMENT BY AND BETWEEN THE BOARD OF PARK COMMISSIONERS FOR THE CITY OF SOUTH BEND AND THE CITY OF SOUTH BEND BOARD OF PUBLIC WORKS This First Amendment to the Master Agency Agreement by and Between the Board of Park Commissioners for the City of South Bend ("Park Board") and the City of South Bend Board of Public Works ("BPW") for Calendar Year 2015 (the "Master Agency Agreement") is made effective, April 16, 2018. WHEREAS, BPC and BPW are parties to a certain Master Agency Agreement dated March 26, 2015 wherein the Park Board designated and authorized the BPW to act as the Park Board's agent to undertake various projects located on, connected to or serving properties in which Park Board has an interest ("Park Properties"). WHEREAS, the parties mutually agree to amend the Master Agency Agreement to modify certain teens and conditions; and NOW, THEREFORE, in consideration of the mutual promises and obligations set forth herein, the parties make this First Amendment to the Master Agency Agreement as follows: 1. Title. The phrase "for Calendar Year 2015" and "during calendar year 2015" is deleted from the Master Agency Agreement. 2. Term of Agreement. The term of the Master Agency Agreement shall be extended to December 31, 2028. 3. Scope of Agency Appointment, The Park Board hereby empowers and appoints the BPW to act as the Park Board's agent for the purpose of entering into contracts concerning the Park Board's interests in Park Properties, including contracting for materials and labor, managing completion of existing Projects and new Projects consistent with the powers granted to the Board of Public Works under Indiana law including, but not limited to, design, order, contracting for execution of all work required to improve or repair any real or personal property that belongs to or is used by the Park Board and the execution of all buildings and other structures needed for any public purpose. Except for the provisions herein contained, said Master Agency Agreement including all Amendments, will remain in full force and effect as previously made.
