<br /> <br />ASSIGNMENT OF INTEREST <br />IN MEMORANDUM OF UNDERSTANDING <br /> <br />This ASSIGNMENT OF INTEREST is made as of the 5th day of March , 2010 <br />(the “Assignment”), by NORTHEAST NEIGHBORHOOD REVITALIZATION <br />ORGANIZATION, INC., an Indiana nonprofit corporation, with its principal office in <br />South Bend, Indiana (the “Grantor”), in favor of the CITY OF SOUTH BEND, <br />INDIANA, DEPARTMENT OF REDEVELOPMENT acting by and through the South <br />Bend Redevelopment Commission, with its principal office located at 227 W. Jefferson <br />Blvd., Suite 1200, South Bend, Indiana 46601 (the “Grantee”): <br /> <br /> WHEREAS, the Grantor has entered into a Memorandum of Understanding with <br />the Housing Authority of South Bend (the “Owner”) dated August 30, 2006 (the “MOU”) <br />for the property described at Exhibit A (the “Property”) providing for the sale of the <br />Property to the Grantor from the Owner, which MOU is assignable and currently not <br />recorded with the St. Joseph County Recorder’s Office; and <br /> <br /> WHEREAS, the Grantee desires to obtain the Property and Grantor desires to <br />transfer its interest the Property to the Grantee; and <br /> <br /> NOW, THEREFORE, for Ten and 00/100 Dollars ($10.00) and other good and <br />valuable consideration, the receipt and adequacy of which is hereby acknowledged, the <br />Grantor hereby assigns its interest in the Property described at Exhibit A and the MOU, a <br />copy of which is attached hereto as Exhibit B, to the Grantee and the Grantee hereby <br />accepts such interest, including all rights and obligations thereunder, from the Grantor. <br /> <br /> The undersigned persons executing and delivering this Assignment on behalf of <br />each of the parties respectively represent and certify that they are the duly authorized and <br />are fully empowered to execute and deliver this Assignment and that all necessary action <br />has been taken and done.
