SECOND AMENDMENT TO AGREEMENT FOR SERVICES BY AND BETWEEN THE CITY OF SOUTH BEND ACTING BY AND THROUGH ITS BOARD OF PUBLIC WORKS, AND NORTHERN INDIANA WORKFORCE BOARD, INC. This Second Amendment To Agreement For Services By And Between The City Of South Bend, Acting By And Through Its Board Of Public Works, And Northern Indiana Workforce Board, Inc. (this "Second Amendment") is entered into on November 28, 2017 (the "Effective Date"), by and between the South Bend Board of Public Works ("BPW") and Northern Indiana Workforce Board, Inc. (the "Provider") (each a "Party" and collectively the "Parties"). RECITALS A. The BPW and the Provider entered into that certain Agreement For Services By And Between The City Of South Bend, Acting By And Through Its Board Of Public Works, And Northern Indiana Workforce Board, Inc., dated December 13, 2016, as amended by the first Amendment To Agreement For Services By And Between The City Of South Bend, Acting By And Through Its Board Of Public Works, And Northern Indiana Workforce Board, Inc, dated October 10, 2017 (collectively, the "Agreement"), in connection with the Provider's delivery of certain workforce development services. B. The Parties desire to amend the terms of the Agreement as stated in this Second Amendment. NOW, THEREFORE, in consideration of the mutual covenants and promises contained in the Agreement and this Second Amendment, the Parties agree as follows: 1. In the first sentence of Section 4.A. of the Agreement, the term "Two Hundred Sixty -Eight Thousand Eight Hundred One and 20/100 Dollars ($268,801.20)" is deleted and replaced by the term "Two Hundred Eighty -Eight Thousand Eight Hundred One and 20/100 Dollars ($288,801.20)." 2. Unless expressly modified by this Second Amendment, the terms and provisions of the Agreement remain in full force and effect. 3. Capitalized terms used in this Second Amendment will have the meanings set forth in the Agreement unless otherwise stated herein. 4. This Second Amendment will be construed and interpreted according to the laws of the State of Indiana. [Signature page follows.]
