This is EXHIBIT A, consisting of 15 pages, referred to in <br />and part of the Agreement between Owner and Engineer <br />for Professional Services dated , <br />Engineer's Services <br />Article 1 of the Agreement is supplemented to include the following agreement of the parties. <br />Engineer shall provide Basic and Additional Services as set forth below. <br />PART I — BASIC SERVICES <br />A 1.01 Study and Report Phase <br />A. Engineer shall (standard text deleted and new text inserted): <br />1. Project Meetings and Workshops <br />a. Engineer will organize and attend up to two project meetings, four teleconferences, and <br />two workshops with the Owner. The project meetings and workshops will be held at <br />the Wastewater Treatment Plant site in South Bend, Indiana. The kickoff meeting will <br />be held to discuss the goals and objectives of the project, establish lines of <br />communication, as well as gather the necessary data to begin the electrical assessment <br />and evaluation effort. A second meeting will occur following submittal of the draft <br />Electrical Evaluation Report to review the Owners comments as well as review <br />recommendations and the strategy going forward. The duration of each meeting is <br />anticipated to be up to four hours and each will be attended by the project manager, <br />engineering manager, and the lead electrical engineer. Engineer will also lead up to four <br />2-hour teleconferences to review status of the project and discuss any outstanding <br />questions with the Owner. <br />b. Engineer will conduct two Workshops with the Owner's engineering and plant staff. <br />The Planning Workshop will assist with identifying treatment process power <br />deficiencies and SCADA network power deficiencies as well as provide a forum to <br />review the overall plant single Iine diagram. During the Project Prioritization <br />Workshop the Engineer will utilize a matrix to present the condition of the critical <br />processes; project impacts on plant treatment conditions of 48 mgd and 77 mgd; and <br />AACE Level 5 estimated costs for design and construction of the proposed upgrades to <br />assist the Owner's strategy. Information from this workshop will facilitate the <br />remaining tasks. Engineer will submit meeting notes to the Owner within 10 business <br />days of each project meeting and workshop. <br />2. Data and Information Collection and Review <br />a. Engineer will prepare a memorandum summarizing the required data and information <br />needed from the Owner to conduct the electrical evaluation. The data and information <br />will be provided by the Owner in electronic format when available.
