Manager's counsel, be unlawful or otherwise expose Owner, Manager or the Golf <br />Course to potential liability. <br />c. In accordance with provisions herein, assist Owner in obtaining, at Owners <br />expense, appropriate insurance coverage for the Golf Course. <br />d. Collect all gross operating revenues derived from the operation the Golf Course <br />and deposit all such gross operating revenues into the Operating Account. <br />e. Develop and implement quality control programs, customer service standards, <br />operating policies and procedures, employee handbooks and other guidelines for <br />the operation of the Golf Course. <br />f. Develop and implement golf course maintenance standards and practices that <br />shall be sufficient, in Manager's professional judgment, to provide playing <br />conditions that are consistent with the Golf Course' market position and <br />competitive with conditions at comparable facilities. <br />g. In accordance with the Annual Operating Budget, enter into service contracts and <br />vendor agreements, on behalf of Owner, as necessary to support the operation and <br />maintenance of the Golf Course. Such agreements may include, but may not <br />necessarily be limited to: janitorial services, waste collection and disposal <br />services, linen or uniform services, pest control services and the like. Any service <br />contracts, vendor agreements and/or any other written contracts and/or <br />agreements entered into on behalf of Owner by Manager (collectively "Service <br />Contracts"), as provided hereunder, shall include a right of cancellation on not <br />more than thirty (30) days notice. In the event that a contract vendor refuses to <br />agree to the thirty (30) day cancellation right provided above, then any such <br />Service Contract shall only be entered into with Owner's prior approval. <br />h. In accordance with the Annual Operating Budget, purchase operating supplies and <br />inventories, and purchase or lease equipment, as necessary to support the <br />operation and maintenance of the Golf Course. <br />i. Develop and implement, in accordance with the Annual Operating Budget, <br />housekeeping and preventive maintenance programs for all buildings, grounds <br />and facilities at the Golf Course. <br />j. In accordance with the Annual Business Plan and the Annual Operating Budget, <br />undertake minor (i.e., having a cost of less than $5,000) repair and replacement <br />projects. <br />k. Monitor compliance with pre-existing lease or other contractual obligations and <br />recommend new leases or contracts as necessary to support the operation and <br />maintenance of the Golf Course. <br />-13- <br />
