INDIANA FORECLOSURE PREVENTION NETWORK <br />PROFESSIONAL SERVICES CONTRACT <br />IHCDA Received an Award from the <br />Indiana State Budget Agency Hoene Ownership Education Fund <br />FAIN: NIA <br />Activity Description: Mortgage Foreclosure Counseling <br />Contract # IFPN-2017-024 <br />EDS # A161-17-IFPN-024 <br />This Indiana Foreclosure Prevention Network Professional Services Contract ("Contract"), entered <br />into by and between the Indiana Housing and Community Development Authority ("IHCDA") <br />and City of South Bend having a DUNS# of 74327123, (the "Contractor"), is executed pursuant to <br />the terms and conditions set forth herein. In consideration of those mutual undertakings and <br />covenants, the parties agree as follows: <br />Duties of Contractor. <br />The duties of the Contractor are set forth in Exhibit A, attached hereto and incorporated fully herein, <br />and are summarized below: <br />Conduct foreclosure prevention counseling and intervention, by telephone or in <br />person, with and on behalf of homeowners who have been referred by the Indiana <br />Foreclosure Prevention Network ("IFPN"). <br />Consideration. <br />The Contractor will be paid as described more fully in Exhibit B, attached hereto and made a part <br />hereof. Total remuneration under this Contract shall not exceed Five Thousand Seven Hundred <br />Fifty and 001100 Dollars ($5,750.00). <br />Term. <br />This Contract shall take effect as of July 1, 2017 ("Effective Date") and remain in effect through <br />September 30, 2017 (the "Term"). <br />Access to Records. <br />The Contractor and its subcontractors, if any, shall maintain all financial records, supporting <br />documentation, statistical records, books, documents, papers, other evidence pertaining to all costs <br />incurred or fees earned under this Contract, and any other records pertinent to this Contract. The <br />Contractor shall make such materials available at its office at all reasonable times during the Term, <br />and for three (3) years from the date of final payment under this Contract, for inspection by IHCDA, <br />NeighborWorks America, or the authorized representative, agent or third -party contractor of either <br />entity. Upon request, copies shall be furnished at no cost to IHCDA, NeighborWorks America, or the <br />authorized representative, agent or third -party contractor of either entity. The only exceptions are the <br />following. (1) If any litigation, claim, or audit is started before the expiration of the three (3) year <br />period, the records shall be retained until the litigation, claims or audit findings involving the records <br />have been resolved and final action taken: and (2) Records for real property and equipment acquired <br />with funds hereunder shall be retained for three (3) years after final disposition.
