ARTICLE 1. <br /> DEFINITIONS <br /> Section 1.1. Terms Defined. In addition to the words and terms elsewhere defined in this <br /> Indenture, the following words and terms as used in this Indenture shall have the following <br /> meanings unless the context or use indicates another or different meaning or intent: <br /> "Additional Bonds" shall have the meaning assigned in Section 2.8 of this Indenture. <br /> "Allocation Area" means the River West Development Area Allocation Area No. 1. <br /> "Area" means the River West Development Area. <br /> "Authorized Representative" means, as to the Developer, any officer of the Developer or <br /> any other person certified by an officer of the Developer to be such and as to the Issuer means <br /> and as to the Bond Purchaser means <br /> "Bond Project" means the reskinning and restoration of Building 84 and other related <br /> improvements and expenses, if any, in connection with the remediation and rehabilitation of the <br /> former Studebaker manufacturing facilities that are in or physically connected to the Area. <br /> "Bond Purchaser" means Regional Development Authority of Northern Indiana. <br /> "Bond Purchase Agreement" means the Bond Purchase Agreement, dated <br /> , 2017,between the Issuer and the Bond Purchaser. <br /> "Bonds" means any Bonds issued pursuant to this Indenture, including the Series 2017 <br /> Bonds. <br /> "Business Day" shall mean any day other than (i) a Saturday or Sunday, (ii) a day on <br /> which commercial banks in New York, New York, or the city or cities in which the corporate <br /> trust office of the Trustee or the Tender Agent are authorized or required by law to close or(iii)a <br /> day on which the New York Stock Exchange or the federal reserve payment system is closed. <br /> "Construction Fund" shall mean the Construction Fund established in Section 4.3 herein. <br /> "Costs of Construction" means the categorical costs of providing for an "economic <br /> development project" as defined and set forth in the Act: <br /> (i) all costs and expenses which Issuer or Developer shall be required to pay, <br /> under the terms of any contract or contracts (including the architectural and engineering, <br /> development, and legal services with respect thereto), for materials, equipment and the <br /> construction of the Bond Project; and <br /> (ii) any sums required to reimburse Issuer or Developer for advances made by <br /> either of them subsequent to the date of inducement by the Issuer for any of the above <br /> - 10 - <br /> I\11860514.2 <br />
