EXTENSION ADDENDUM TO CONSULTING AGREEMENT BY AND BETWEEN THE CITY OF SOUTH BEND, DEPARTMENT OF REDEVELOPMENT AND BLUE WATERS GROUP, INC. (Phase II) THIS EXTENSION ADDENDUM (this "Addendum") is made and entered into this 18th day of December, 2009, by and between the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission, having its offices at 1200 County-City Building, 227 W. Jefferson Blvd., South Bend, Indiana 46601 (the "City") and the Blue Waters Group, Inc., ("BWG"), a Wisconsin corporation with offices in South Bend, Indiana. RECITALS WHEREAS, the City and BWG have entered into an agreement entitled "CONSULTING AGREEMENT" effective the 15C day of May, 2009, (the "Agreement'') providing for Phase II consulting services for MIND and Project Future (the "Program''); and WHEREAS, the Agreement recognizes that the actions contemplated by the Agreement are in the best interests of the health, safety and welfare of the City and its residents and that such actions comply with the public purposes and applicable provisions of state and local law; and WHEREAS, BWG has provided and continues to provide consulting expertise for the Program; and WHEREAS, the final portion of Phase II is ongoing and will be completed during the term of this extension; and WHEREAS, the parties desire to amend and extend the Agreement by this Addendum; and WHEREAS, BWG further represents that it has taken all corporate action necessary to enter into this Addendum. NOW THEREFORE, the parties mutually agree as follows: 1. The term of the Agreement between the parties is modified and extended to and including June 1, 2010. 2.
