REGULAR MEETING JANUARY 10, 1977 <br />the Citizen and the Cable Proje-pt. Pis .Bender said they. appreciate <br />the opportunity to be heard and to help publicize this ill -understood <br />service`:to the community. She noted that there are 30,000 homes with <br />cable television in the community. She said her group is interested <br />in exploring the potential of the service as it relates to the <br />citizens. They look forward to increased citizen participation <br />in cable, with people made aware of citizen access to cable television <br />for information exchange. She said eighteen community leaders ands <br />educators, including two representatives from Valley Cablevision, <br />have worked on the Citizen and the Cable Project. Possibilities <br />being explored are a mini -network which would air videotapes, such <br />as Chamber of Coruierce status reports or tapes of public meetings such <br />as this one. They also envision information for the elderly and the <br />handicapped and a possible citizens advisory group. Ms. Bender <br />said her group looks forward to expanded cable programming with the <br />new owners <br />The following resolution, which Baas. reviewed and approved by the <br />Legal Department, was executed by the Board. <br />RE, SOLUTIOIT OF THE BOARD OF PUBLIC WORKS <br />OF THE CITY OF SOUTH BEND, I14DIAIIA <br />W11EREAS, heretofore on the 22nd day of August, 1966, the Board of <br />Public. Z-lorks and Safety of the City of South Bend, Indiana entered <br />into a CATV Franchise agreement whereby Valley Cablevision Corporation <br />was granted the right to construct, operate and maintain a community <br />antenna television system in the City of South Bend; and <br />WHEREAS, Section VII of said CATV Franchise agreement provides <br />as follows: <br />"This franchise and grant may not be assigned without the <br />express and prior written consent of the Board of Public <br />Works and Safety of the City of South Bend." <br />W11EREAS, the owners of all of the issued and outstanding stock of <br />Valley Cablevision Corporation, to -wit: Schurz Communications, Inc., <br />Truth Publishing Company, Inc. and Michiana Telecasting Corporation <br />have entered into an agreement with Indiana Cablevision Corporation; and <br />WHEREAS, said agreement further provides that upon the consummation <br />of said sale, Valley Cablevision Corporation will be merged into <br />Indiana Cablevision Corporation; and <br />WHEREAS, Schurz Communications, Inc., Truth Publishing Company, Inc. <br />and Michiana Telecasting Corp. have requested approval of the Board <br />of Public Works of the City of South Bend to the sale and transfer <br />of said stock and the transfer by Valley.Cablevision Corporation <br />to Indiana Cablevision Corporation of all of its rights under the <br />aforementioned CATV Franchise agreement that will result by reason <br />of the merger of Valley Cablevision Corporation into Indiana <br />Cablevision Corporation. <br />NOW, TIIEP.EFORE, BE IT RESOLVED by the Board of Public Works of the <br />City of South Bend, that approval is hereby granted to the transfer <br />by Schurz Communications, Inc., Truth Publishing Company, Inc. and <br />Michiana!Telecasting Corp. to Indiana Cablevision Corporation of all <br />of the issued and outstanding stock of Valley Cablevision Corporation <br />to Indiana Cablevision Corporation of all of its rights to construct <br />operate and maintain a community antenna television system in the City <br />
