INDIANA HOUSING AND COMMUNITY DEVELOPMENT AUTHORITY <br />PROFESSIONAL SERVICES CONTRACT <br />CITY OF SOUTH BEND <br />Contract No. HHF-2016-024 <br />This Professional Services Contract ("Contract"), entered into by and between the Indiana Housing and <br />Community Development Authority ("IHCDA" or the "State") and City of South Bend (the <br />"Contractor"), is executed pursuant to the terms and conditions set forth herein. In consideration of those <br />mutual undertakings and covenants, the parties agree as follows: <br />1. Duties of the Contractor. <br />The duties of the Contractor are set forth in Exhibit "A," attached hereto and incorporated fully herein, and <br />are summarized as follows: <br />Provide intake services, triage counseling, eligibility screenings, advice on alternative <br />solutions to HHF, perform file underwriting to determine whether the client meets the specific <br />HHF qualifications, and to close loans of qualifying borrowers. <br />2. Consideration. <br />The Contractor will be paid in the manner described more fully in Exhibit °B," attached hereto and made a <br />part hereof. Total remuneration under this Contract shall not exceed $61,800.00 (Sixty -One Thousand <br />Eight Hundred and 001100 Dollars). <br />3. Term. <br />This Contract shall take effect on July 1, 2016 ("Effective Date") and remain in effect through June 30, <br />2017 (the "Term"). <br />4. Access to Records. <br />The Contractor and its subcontractors, if any, shall maintain all books, documents, papers, accounting <br />records, and other evidence pertaining to all costs incurred under this Contract. They shall make such <br />materials available at their respective offices at all reasonable times during the Term, and for five (5) years <br />from the date of final payment under this Contract, for inspection by IHCDA or its authorized designees. <br />Copies shall be furnished at no cost to IHCDA, if requested. <br />5. Assignment; Successors. <br />The Contractor binds its successors and assignees to all the terms and conditions of this Contract. The <br />Contractor shall not assign or subcontract the whole or any part of this Contract without IHCDA's prior <br />written consent. The Contractor may assign its right to receive payments to such third parties as the <br />Contractor may desire without the prior written consent of IHCDA, provided that the Contractor gives <br />written notice (including evidence of such assignment) to IHCDA thirty (30) days in advance of any payment <br />so assigned. The assignment shall cover all unpaid amounts under this Contract and shall not be made to <br />more than one party. <br />6. Assignment of Antitrust Claims. <br />
